Welcome to Flash Media Digital LLC. These Terms of Service ("Agreement") outline the rules and regulations for the use of our services. By accessing or using any of our services, you agree to comply with these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

1. Definitions

  • "Company," "We," "Us," or "Our" refers to Flash Media Digital LLC, located at 2314 SW 17th Place, Unit 306, Cape Coral, FL 33991.

  • "Client," "User," or "You" refers to any individual, company, or entity using our services.

  • "Services" refers to the digital marketing, web and app development, branding, advertising, and other related digital services provided by Flash Media Digital LLC.

  • "Agreement" refers to these Terms of Service, including our Privacy Policy and Fulfillment Policy.

2. Services Provided

Flash Media Digital LLC offers various digital services, including but not limited to:

✅ Social media management and marketing
✅ Search Engine Optimization (SEO)
✅ Paid advertising and campaign management
✅ Branding and graphic design
✅ Video production, drone videography, and professional photography
✅ Influencer marketing and promotional services

We reserve the right to modify, discontinue, or enhance any of our services at any time without prior notice.

3. Client Responsibilities

By using our services, you agree to:

  • Provide accurate and complete information necessary for project execution.

  • Cooperate in a timely manner, including providing feedback and approvals when required.

  • Make timely payments as per our Fulfillment Policy.

  • Adhere to our content guidelines and avoid submitting illegal, offensive, or copyrighted materials.

  • Acknowledge that delays caused by the Client may affect project timelines and that Flash Media Digital LLC is not liable for such delays.

4. Payment Terms

  • Payments must be made as per the agreed terms in the project contract or invoice.

  • For one-time projects (e.g., website/app development), payments are typically split into two milestones:

    • 50% upfront to start work

    • 50% upon completion before final delivery

  • For ongoing services (e.g., social media management, marketing campaigns), payments are due on the 1st of each month.

  • Failure to make timely payments may result in:

    • Service suspension or termination.

    • Late fees, if applicable.

    • Legal action for unpaid balances.

5. Refund & Cancellation Policy

  • Refunds: Due to the nature of digital services, refunds are only available under specific conditions. Full refunds may be issued if no work has been completed. Partial refunds may be considered based on work completed.

  • Cancellations: Clients must provide written notice at least 15 days before the next billing cycle to cancel subscription-based services. One-time projects cannot be canceled once development has started.

  • Marketing Campaigns: Ad spend that has already been allocated cannot be refunded.

6. Intellectual Property Rights

  • Upon full payment, the Client owns all rights to completed websites, apps, branding materials, and digital content developed by Flash Media Digital LLC.

  • We retain the right to use non-confidential elements of completed work for portfolio and promotional purposes unless explicitly prohibited by the Client in writing.

  • Clients do not have ownership rights to marketing strategies, software source code, or proprietary tools unless explicitly agreed upon in writing.

7. Confidentiality & Data Protection

  • Both parties agree to keep all proprietary, confidential, and business-related information private and secure.

  • Flash Media Digital LLC will never sell, share, or distribute Client data to third parties without consent.

  • Clients are responsible for maintaining the security of their own accounts, logins, and sensitive information.

8. Limitation of Liability

  • Flash Media Digital LLC is not liable for:

    • Any loss of revenue, profits, or business opportunities due to service disruptions, technical failures, or platform-related issues.

    • Third-party platform changes, policy updates, or algorithm changes (e.g., Google, Facebook, Instagram, Apple, etc.) that impact performance.

    • Unforeseen delays caused by Client-side inactivity, lack of communication, or external approval processes.

  • Clients agree that all services are provided "as is", with no guarantees on specific marketing, SEO, or sales results.

9. Termination of Services

Flash Media Digital LLC reserves the right to terminate services immediately under the following conditions:

  • The Client fails to make payments within 15 days of the due date.

  • The Client engages in fraudulent, illegal, or unethical activities.

  • The Client violates any of these Terms of Service.

  • Mutual agreement between both parties.

Upon termination, Flash Media Digital LLC will hand over completed work that has been fully paid for. Any unfinished projects will remain the property of Flash Media Digital LLC until payment is settled.

10. Dispute Resolution

  • Any disputes must first be resolved through good-faith negotiations.

  • If a resolution cannot be reached, both parties agree to binding arbitration under the laws of the State of Florida.

  • The losing party in a dispute shall bear all associated legal costs and attorney fees.

11. Changes to These Terms

Flash Media Digital LLC reserves the right to update these Terms of Service at any time. Clients will be notified of any material changes that may impact their services.
